1. Acceptance of these terms
SNF Compliance Hub is a product of EXE, LLC ("SNF Compliance Hub," "we," "us," or "our"). By creating an account or using snfcompliancehub.com, app.snfcompliancehub.com, or our mobile applications (the "Service"), you agree to these Terms & Conditions. If you are using the Service on behalf of a facility or company, you represent that you have authority to bind that organization.
2. The Service
SNF Compliance Hub provides compliance reference material, self-audit tools, facility data drawn from public CMS sources, and AI-assisted document drafting for skilled nursing facilities.
3. Not professional advice
The Service provides information and drafting assistance only. It is not legal, medical, or regulatory advice, and it does not create a professional relationship. You are responsible for verifying all content — including AI-generated drafts — against your facility's policies, current CMS requirements (including the State Operations Manual, Appendix PP), and applicable state law before relying on it or submitting it to any agency.
4. AI-generated content
Drafts produced by AI features are starting points and may contain errors or omissions. You retain responsibility for any document you finalize, adopt, or submit. Do not include resident-identifiable information beyond what is necessary.
5. Accounts
- You must provide accurate registration information and keep your credentials secure.
- Accounts are scoped to a facility; you are responsible for activity under your account.
- Notify us promptly of any unauthorized use.
6. Acceptable use
You agree not to:
- Use the Service in violation of law or third-party rights.
- Probe, disrupt, or circumvent security or access controls.
- Resell, scrape, or bulk-export the Service or its content without our written permission.
- Upload malicious code or content you lack rights to share.
7. Your content
You retain ownership of the content you submit. You grant us a limited license to host and process it to operate the Service, as described in our Privacy Policy.
8. Our intellectual property
The Service, including its software, design, and original content, is owned by EXE, LLC and protected by law. CMS publications and data remain the work of their respective sources.
9. Third-party and public data
Facility data is drawn from public CMS sources and is provided "as published." We do not guarantee its accuracy, completeness, or timeliness.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will ensure regulatory compliance or survey outcomes.
11. Limitation of liability
To the maximum extent permitted by law, EXE, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service.
Our total cumulative liability for all claims arising in a calendar year will not exceed the total amounts you actually paid us for the Service during that same calendar year, up to the date the claim arose. Amounts paid in any prior calendar year are not included. If you have paid us nothing in the calendar year in which the claim arose, our total liability will not exceed one hundred dollars ($100).
These limits apply to all theories of liability — contract, tort, negligence, strict liability, or otherwise — even if we have been advised of the possibility of the damages, and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Termination
You may stop using the Service or delete your account at any time. We may suspend or terminate access for violation of these terms, with notice where practical. Sections 3, 4, and 7–11 survive termination.
13. Changes
We may update the Service or these terms. Material changes to these terms will be announced in the app or by email; continued use after changes take effect constitutes acceptance.
14. Governing law
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. You and EXE, LLC agree that any dispute arising out of or relating to these terms or the Service will be resolved exclusively in the state or federal courts located in Texas, and each party consents to personal jurisdiction and venue in those courts.
